Terms of Service

These Terms of Service ("Terms") govern your use of HubLaunch — the website at hublaunch.site, the hub-launch CLI and agent skills, and the hosted service that plans, implements, verifies, and merges software changes on your behalf (together, the "Service"). By creating an account or using the Service you agree to these Terms. If you use the Service on behalf of an organization, you represent that you can bind that organization.

1. The Service

HubLaunch turns implementation plans into pull requests: it creates GitHub issues in your repositories, runs coding agents in hosted cloud sandboxes, opens pull requests, verifies them against their plans, and merges them when you approve. The Service orchestrates third-party services on your behalf — including GitHub, AI model providers, and cloud compute infrastructure — and depends on their availability. We may modify features of the Service over time.

2. Your Account and Credentials

You are responsible for your account, your API keys and tokens (including your GitHub and AI-provider credentials), and all activity under them. Keep them confidential; notify us promptly at the contact below of any unauthorized use. You must provide accurate account information and be legally able to enter these Terms.

3. Acceptable Use

You agree not to, and not to permit others to:

  • use the Service to develop, distribute, or operate malware, exploits, spam infrastructure, or any software intended to harm third parties, or otherwise use it in violation of applicable law;
  • use sandbox compute for anything other than the launched plan — including cryptocurrency mining, network attacks or scanning, proxying traffic, or long-running workloads unrelated to producing the pull request;
  • circumvent, or attempt to circumvent, usage limits, credit accounting, sandbox time budgets, plan-scope checks, or any other metering or safety mechanism of the Service;
  • run work against repositories you do not own or lack permission to modify, or violate the terms of the third-party services the Service orchestrates for you (including GitHub's and your AI provider's terms and usage policies);
  • resell, sublicense, or provide the Service to third parties as a service bureau without our written agreement;
  • probe, disrupt, or reverse engineer the Service, other customers' workloads, or the underlying infrastructure, except to the extent such restriction is prohibited by law.

We may suspend or terminate access immediately where we reasonably believe the Service is being misused, where usage creates risk to the Service or third parties, or where required by law or by our infrastructure providers. Where practical, we will notify you and work with you to restore access.

4. Fees, Credits, and Price Changes

  • Subscriptions are billed in advance and renew automatically until cancelled. Cancellation takes effect at the end of the current billing period.
  • PR credits are consumed only when a launched run opens a pull request — one credit per pull request, including its allotted sandbox compute. Runs that fail or complete without opening a pull request consume no credits.
  • Included credits. Every Pro subscription includes 25 PR credits per month. Included credits reset at the start of each month and do not roll over — unused included credits are lost at reset.
  • Purchased credits are prepaid at $0.50 each, non-transferable, and — except where required by law — non-refundable. Purchased credits have no cash value, never expire, and remain available after cancellation. If we discontinue the Service, unused purchased credits will be refunded pro rata.
  • Launches require available credits. When your combined included and purchased balance reaches zero, new launches are blocked until you buy more credits or your monthly included credits reset.
  • We may change our prices. Price changes take effect no earlier than 30 days after we notify you (by email or in-product notice), and apply from your next billing period. Price changes do not affect credits you have already purchased, which retain the entitlements they were bought with. Continued use of the Service after a change takes effect constitutes acceptance of the new prices.
  • Fees are exclusive of taxes; you are responsible for applicable taxes other than taxes on our income.

5. Your Content and Code

You retain all rights to your repositories, plans, and code. You grant us the limited rights needed to operate the Service — reading and writing your repositories as you direct, transmitting your plans and code to the sandboxes and AI providers involved in a run, and storing run artifacts (logs, diffs, reports) to show them to you. You are responsible for having the rights to the content you submit.

6. AI-Generated Output

The Service uses AI models to plan, write, and review code. AI output can be wrong, insecure, or unsuitable despite passing verification. Verification scores and reports are decision aids, not guarantees. You are solely responsible for reviewing and approving pull requests before merge and for the consequences of merged code. We make no warranty as to the correctness, security, or fitness of generated code, and we do not warrant that output will be free of third-party rights claims.

7. Third-Party Services

The Service depends on third-party platforms (including GitHub, AI model providers, payment processors, and cloud infrastructure). Their outages, changes, or termination of our access may affect the Service; we are not liable for third-party failures, though we will make reasonable efforts to restore affected functionality. Your use of those platforms through the Service remains subject to their terms.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY ARISING OUT OF THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED BY LAW.

10. Indemnification

You will defend and indemnify us against claims arising from your content, your repositories, your violation of these Terms or of third-party terms, or your merged code — except to the extent caused by our breach of these Terms.

11. Termination

You may stop using the Service and cancel at any time. We may suspend or terminate as described in Section 3, or terminate for convenience with 30 days' notice (in which case unused purchased credits are refunded pro rata). Sections 5–12 survive termination.

12. General

These Terms are governed by the laws of [jurisdiction — to be confirmed before publication], excluding conflict-of-law rules, and disputes will be resolved in the courts of that jurisdiction. We may update these Terms; material changes take effect no earlier than 30 days after notice, and continued use constitutes acceptance. If any provision is unenforceable, the rest remain in effect. These Terms are the entire agreement between us regarding the Service.
