Terms of Service

These Terms of Service ("Terms") govern your use of HubLaunch — the website at hublaunch.site, the hub-launch CLI and agent skills, and the hosted service that plans, implements, verifies, and merges software changes on your behalf (together, the "Service"). By creating an account or using the Service you agree to these Terms. If you use the Service on behalf of an organization, you represent that you can bind that organization.

1. The Service

HubLaunch turns implementation plans into pull requests: it creates GitHub issues in your repositories, runs coding agents in hosted cloud sandboxes, opens pull requests, verifies them against their plans, and merges them when you approve. The Service orchestrates third-party services on your behalf — including GitHub, AI model providers, and cloud compute infrastructure — and depends on their availability. HubLaunch is a new, early-stage service: we may add, change, or remove features over time, and our plans and usage limits may change as described in Section 5.

2. Your Account and Credentials

You are responsible for your account, your API keys and tokens (including your GitHub and AI-provider credentials), and all activity under them. Keep them confidential; notify us promptly at the contact below of any unauthorized use. You must provide accurate account information and be legally able to enter these Terms.

3. Acceptable Use

You agree not to, and not to permit others to:

  • use the Service to develop, distribute, or operate malware, exploits, spam infrastructure, or any software intended to harm third parties, or otherwise use it in violation of applicable law;
  • use sandbox compute for anything other than the launched plan — including cryptocurrency mining, network attacks or scanning, proxying traffic, or long-running workloads unrelated to producing the pull request;
  • circumvent, or attempt to circumvent, usage limits, credit accounting, sandbox time budgets, plan-scope checks, or any other metering or safety mechanism of the Service;
  • run work against repositories you do not own or lack permission to modify, or violate the terms of the third-party services the Service orchestrates for you (including GitHub's and your AI provider's terms and usage policies);
  • resell, sublicense, or provide the Service to third parties as a service bureau without our written agreement;
  • probe, disrupt, or reverse engineer the Service, other customers' workloads, or the underlying infrastructure, except to the extent such restriction is prohibited by law.

We may suspend or terminate access immediately where we reasonably believe the Service is being misused, where usage creates risk to the Service or third parties, or where required by law or by our infrastructure providers. Where practical, we will notify you and work with you to restore access.

4. Fees, Credits, and Price Changes

  • Subscriptions are billed in advance and renew automatically until cancelled. Cancellation takes effect at the end of the current billing period.
  • Free trial. New subscribers may receive a 30-day free trial on their first Pro subscription. A valid payment method is required to start a trial; your card is authorized but not charged during the trial period. Unless you cancel before the trial ends, the subscription converts automatically and the first payment is charged on the trial end date at the price and billing interval you selected. Trials are limited to one per account. A trial includes the same 25 included PR credits as a paid month; unused trial credits do not carry over into the first paid month.
  • PR credits are consumed in two halves. Remote planning (HubLaunch analyzing your repository and preparing clarifying questions) consumes ½ credit when the analysis completes. Opening a pull request from a launched run consumes the remaining ½ credit, or a full credit when the plan was prepared locally. Runs that neither plan remotely nor open a pull request consume no credits.
  • Included credits. Every Pro subscription includes 25 PR credits per month. Included credits reset at the start of each month and do not roll over — unused included credits are lost at reset.
  • Purchased credits are prepaid at $0.50 each, non-transferable, and — except where required by law — non-refundable. Purchased credits have no cash value, never expire, and remain available after cancellation. If we discontinue the Service, unused purchased credits will be refunded pro rata.
  • Launches require available credits. When your combined included and purchased balance reaches zero, new launches are blocked until you buy more credits or your monthly included credits reset.
  • We may change our prices. Price changes take effect no earlier than 30 days after we notify you (by email or in-product notice), and apply from your next billing period. Price changes do not affect credits you have already purchased, which retain the entitlements they were bought with. Continued use of the Service after a change takes effect constitutes acceptance of the new prices.
  • Fees are exclusive of taxes; you are responsible for applicable taxes other than taxes on our income.

5. Plans, Usage Limits, and Changes to Our Offerings

HubLaunch is a new startup, and our plans are not fixed. We reserve the right to change what we offer and the limits that apply to it. We are still learning what the Service costs to run, what people use most, and what a sustainable offering looks like. The plans we publish today (currently Free, Pro, and Enterprise), what each one includes, and the quantities attached to them are our current offering, not a permanent commitment.

  • We may change our plans. We may add, modify, rename, merge, or discontinue plans and features; move a feature from one plan to another; change the quantities a plan includes (such as the number of included PR credits); and change the price of purchased credits.
  • We may introduce or adjust usage limits. This includes monthly or other periodic boundaries on the number of things the Service does for you, such as plans created, GitHub issues created or tracked, launches, pull requests opened, sandbox time, repositories or projects connected, team members, automations and scheduled scans, API requests, and any other metered activity. We may also set limits on the size or duration of individual operations and apply fair-use limits to features described as unlimited. Limits may differ between plans.
  • The Free plan is included. Planning and tracking on the Free plan currently have no monthly caps. We may introduce them, change what the Free plan includes, or require a paid plan for features that are free today.
  • Notice and timing. Where a change reduces what your paid subscription includes, or introduces a new limit on a paid plan, we will notify you by email or in-product notice and the change will take effect no earlier than 30 days after that notice, from the start of your next billing period. Changes to the Free plan, and limits we introduce to protect the Service, other customers, or our infrastructure providers from abuse or excessive load, may take effect on shorter notice or, where necessary, immediately. We will give as much notice as is practical.
  • What happens when you reach a limit. When you reach a limit, the affected action is paused until the limit resets, you purchase additional credits (where the Service offers them), or you move to a plan with a higher limit. Reaching a limit does not delete your projects, plans, or run history. Our records of your usage are authoritative absent manifest error.
  • Credits you have already purchased keep the entitlements they were bought with, as described in Section 4.
  • Your choice. If you do not agree to a change, you may cancel before it takes effect. Continued use of the Service after a change takes effect constitutes acceptance of the new plans and limits.

6. Your Content and Code

You retain all rights to your repositories, plans, and code. You grant us the limited rights needed to operate the Service — reading and writing your repositories as you direct, transmitting your plans and code to the sandboxes and AI providers involved in a run, and storing run artifacts (logs, diffs, reports) to show them to you. You are responsible for having the rights to the content you submit.

7. AI-Generated Output

The Service uses AI models to plan, write, and review code. AI output can be wrong, insecure, or unsuitable despite passing verification. Verification scores and reports are decision aids, not guarantees. You are solely responsible for reviewing and approving pull requests before merge and for the consequences of merged code. We make no warranty as to the correctness, security, or fitness of generated code, and we do not warrant that output will be free of third-party rights claims.

8. Third-Party Services

The Service depends on third-party platforms (including GitHub, AI model providers, payment processors, and cloud infrastructure). Their outages, changes, or termination of our access may affect the Service; we are not liable for third-party failures, though we will make reasonable efforts to restore affected functionality. Your use of those platforms through the Service remains subject to their terms.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY ARISING OUT OF THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED BY LAW.

11. Indemnification

You will defend and indemnify us against claims arising from your content, your repositories, your violation of these Terms or of third-party terms, or your merged code — except to the extent caused by our breach of these Terms.

12. Termination

You may stop using the Service and cancel at any time. We may suspend or terminate as described in Section 3, or terminate for convenience with 30 days' notice (in which case unused purchased credits are refunded pro rata). Sections 6–13 survive termination.

13. General

These Terms are governed by the laws of the State of Israel, excluding its conflict-of-law rules, and any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the competent courts of Jerusalem, Israel. We may update these Terms; material changes take effect no earlier than 30 days after notice, and continued use constitutes acceptance. If any provision is unenforceable, the rest remain in effect. These Terms are the entire agreement between us regarding the Service.

Cookies & Analytics

We use Google Analytics 4 to measure how HubLaunch is used so we can improve it. Analytics cookies are only set after you accept them via the consent banner shown on your first visit — you can decline, and if you do, no analytics cookies are written and only anonymous, cookieless measurement pings are sent. Your choice is remembered in a first-party cookie so the banner does not reappear on later visits; you can change it by clearing that cookie.

When analytics are enabled, Google Analytics collects usage data such as the pages you view, approximate location (derived from your IP address, which Google does not store), and basic device/browser information. We do not sell your data and we do not send Google any personal identifiers — including your HubLaunch account id — so analytics pageviews are not tied to your identity by us.
